Wetips Terms of Service

Introduction

This Terms of Service (“Agreement”) is a legal contract between you (referred to as “you” or “User”) and BauhiniaAI (“we”, “us”, or “our”), the provider of the Wetips software (“Wetips” or the “Service”). Wetips is an AI-powered desktop application that helps you craft chat replies across various messaging platforms. By installing or using Wetips, you agree to be bound by this Agreement. If you do not agree with these terms, you must not use Wetips. We recommend that you read this Agreement carefully before using the Service.

You acknowledge that you have the legal capacity to enter into this Agreement. If you are using Wetips on behalf of an organization, you represent that you have the authority to bind that organization to these terms. This Agreement, along with our Privacy Policy (which is incorporated by reference), governs your use of Wetips.

Account Registration and Authentication

To use Wetips, you must create a user account with BauhiniaAI. Registration: When registering, you are required to provide a valid email address. Instead of using a password, Wetips uses a verification code (or “magic link”) authentication system. This means that when you sign up or log in, Wetips will send a one-time verification code to your email address, which you must enter into the app to confirm your identity. You agree to provide an email address that you own and that is accurate. You are responsible for maintaining access to that email account; if you lose access, you may lose the ability to log in to Wetips.

Account Security: Because Wetips does not use passwords, it’s important that you keep your email account secure. Do not share your email or verification codes with others. Treat access to your email as access to your Wetips account. If you suspect any unauthorized access to your Wetips account or email, notify us immediately. BauhiniaAI is not liable for any loss or damage arising from unauthorized use of your account (for example, if someone gains access to your email and thereby to Wetips).

Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to use Wetips. If you are 13 or older but under 18, you may only use Wetips with the involvement and consent of a parent or guardian. Wetips is not intended for children under 13.

Each user may register for only one account, unless expressly permitted by BauhiniaAI (for instance, separate accounts for personal and business use, if allowed). You agree not to misrepresent your identity or affiliation when registering. We reserve the right to decline registration or cancel accounts that violate these requirements.

Permissions and System Access

Wetips requires certain permissions on your device to function correctly. By using Wetips, you grant the application the following permissions on your computer:

  1. Screen Capture and Recording: Wetips may capture screenshots or read the contents of your screen when a supported chat application is in use. This allows Wetips to detect the text of incoming messages and context in order to formulate a relevant reply. For example, Wetips might take a snapshot of your chat window or use accessibility APIs to retrieve the last message received.
  2. Accessibility and Input Control: Wetips may control your mouse or keyboard input in a limited way to facilitate inserting suggestions. For instance, with your permission, Wetips can automatically paste a chosen suggested reply into the active chat textbox, or simulate key presses to open the emoji panel if needed. This might require enabling your operating system’s accessibility features for Wetips.

Use of Permissions: You understand and agree that these permissions are used strictly for the functionality of Wetips. Wetips will only capture your screen when a supported chat application is active and only to the extent necessary to read the relevant messages. Similarly, input control is only used to automate actions that you trigger (like inserting a reply). BauhiniaAI does not surreptitiously record your screen or keystrokes outside of these contexts. No screenshots or recordings are sent back to BauhiniaAI’s servers or stored locally beyond temporary memory needed for processing. The information obtained through these permissions (e.g., the text of your chat conversation) is used on the fly to generate a reply and is not stored by us after the reply is generated. Only RAG files are stored on clouds.

You can revoke these permissions at any time via your system settings (for example, on macOS you can disable Wetips in the Screen Recording and Accessibility sections of Security & Privacy settings). However, be aware that without these permissions, Wetips will not be able to function (it won’t know what messages you’re responding to or be able to input suggestions). By granting these permissions, you acknowledge that Wetips will have access to your on-screen content and the ability to input text, and you accept the associated privacy and security implications.

Freemium Model, Subscriptions, and Payments

Wetips is offered on a freemium basis. This means basic usage is free, but with certain limitations, and additional usage or features are available through paid subscriptions.

  1. Free Tier: As a free user, you are allotted a limited number of AI-generated suggestions per day (or per month). For example, the free tier might allow a certain number of messages to be processed or a quota of characters/words to be generated daily. These limits may be subject to fair use policies. The free version of Wetips includes all core features but is capped to ensure that heavy usage is reserved for paying subscribers and to manage operating costs.
  2. Subscription Plans: BauhiniaAI offers paid subscription plans (e.g., Wetips Pro or Premium) for users who need higher usage limits or enhanced features. Subscriptions may be offered on a monthly or annual basis. By subscribing, you gain access to extended daily limits, priority access to new features or faster AI models, and potentially other perks (as detailed on our website or within the app at the time of subscription).
  3. Payment and Billing: If you choose to subscribe, you will be required to provide a valid payment method. Payments are handled via our third-party payment processor (for example, a credit card processed by Stripe, or via the App Store/Play Store if applicable). The subscription fee will be clearly communicated to you, and by entering into a subscription you authorize us (or our payment processor) to charge the recurring subscription fee to your provided payment method. Auto-Renewal: Paid subscriptions will automatically renew at the end of each billing cycle (month or year) unless you cancel beforehand. You will be charged in advance at the beginning of each billing period. If the pricing or terms of your subscription change, we will notify you in advance (see “Changes to this Agreement” below for more on modifications).
  4. Cancellation: You may cancel your subscription at any time. If you cancel, you will continue to have access to the premium features until the end of your current paid period, after which your account will revert to the free tier (with applicable limitations). To cancel, you can use the account settings in the Wetips app (if available) or contact our customer support. We do not provide refunds for partial subscription periods that have already commenced, except where required by law or explicitly stated otherwise. For example, if applicable law grants you a cooling-off period or if our specific offer included a money-back guarantee, those terms will apply.
  5. Subscription Changes: You may be allowed to upgrade or downgrade your plan. Upgrading (e.g., moving from monthly to yearly, or to a higher tier) may take effect immediately with a pro-rated charge or new billing date, whereas downgrading will usually take effect at the next renewal to avoid interrupting service you’ve paid for. When you downgrade, make sure you understand any new limitations as exceeding them might require re-subscribing or could result in service interruption.
  6. Free Trial: If we offer a free trial for a subscription plan, the trial’s duration and terms will be specified. After the trial period ends, you will be charged for the subscription unless you cancel before the trial expiration. You are limited to one free trial (unless otherwise stated); attempting to use multiple free trials (for example, by using multiple emails) is a violation of this Agreement.
  7. No Fees for Free Features: Wetips’s basic features can be used without charge (within the usage limits). We do not charge any hidden fees; any potential fees (like subscription costs or one-time purchases) will be clearly presented for your acceptance.

We reserve the right to modify the pricing of Wetips or introduce new fees in the future. If we do, we will give you prior notice. If you do not agree to a price change, you may cancel your subscription before the new price takes effect. By continuing to use Wetips after the price change goes into effect, you agree to the new price.

Acceptable Use and User Responsibilities

By using Wetips, you agree to use the Service only for its intended purpose and in accordance with all applicable laws and this Agreement. You are solely responsible for your conduct while using Wetips and for any content that you input into Wetips or ultimately send out via your messaging apps. Specifically, you agree that you will NOT:

  1. Engage in Illegal or Harmful Activities: Do not use Wetips to facilitate any activity that is unlawful, harmful, fraudulent, deceitful, or malicious. Examples include, but are not limited to, using Wetips to send harassing or threatening messages, to stalk or intimidate someone, to engage in hate speech or discrimination, or to aid in any form of illegal conspiracy or activity. If an AI-suggested reply contains inappropriate content (e.g., profanity, hate speech, personal insults), you agree not to send it and to report such suggestions to us for improvement.
  2. Infringe Rights of Others: Do not input or use content via Wetips that violates the intellectual property, privacy, or other rights of any other person. For instance, you should not use Wetips to draft replies containing copyrighted text that you don’t have the right to use, nor share someone’s private information (like their phone number, address, or personal secrets) without consent. You represent that any text or documents you provide to Wetips (for the RAG feature or otherwise) are owned by you or that you have permission to use them for this purpose. If your chat conversations include content from third parties (like messages from friends or colleagues), it is your responsibility to ensure that processing those messages through Wetips is not in violation of any confidentiality or data protection obligations you may have. If required by law, you should obtain consent from the individuals involved before using their message content in Wetips.
  3. Misuse the Service or Interfere with Operation: You will not attempt to disrupt the normal operation of Wetips or the servers and networks providing the Service. This includes not attempting to bypass any security measures or usage limits, not introducing viruses or malware, and not using any automated system (like bots or scripts) to excessively call the Wetips service. You agree not to reverse engineer, decompile, or disassemble the Wetips software, nor attempt to derive the source code or underlying algorithms (except to the extent such actions are permitted by law notwithstanding this limitation).
  4. Circumvent Limits or Access Unauthorized Features: You will not attempt to use the Service beyond the usage limits authorized for your account (for example, creating multiple accounts to get around daily free limits, or using technical means to avoid subscription requirements). You will not access (or attempt to access) any features or data of Wetips that you are not given permission to access. If Wetips is not available in certain regions or platforms, you agree not to use unauthorized methods to access it in those environments.
  5. Violation of Messaging Platforms’ Terms: Since Wetips interfaces with third-party messaging applications, you agree to also abide by the terms of service of those platforms. For example, if WhatsApp, WeChat, Telegram, or Messenger has rules against automation or use of third-party apps, you are responsible for ensuring your use of Wetips does not breach those rules. BauhiniaAI is not responsible if your use of Wetips leads to any action by a third-party platform (such as your messaging account being flagged or banned) due to violation of their policies.
  6. Spam or Unsolicited Messages: You will not use Wetips to send spam or mass-marketing messages to people who have not consented. Wetips is intended to assist personal and professional communication, not to facilitate spam. Using the AI to generate repetitive or bulk messages for unsolicited distribution is prohibited.
  7. Impersonation and Deception: You must not use Wetips to impersonate any person or entity or to mislead recipients as to the origin of your messages. While Wetips might help you write messages in different tones, you should not use it to fabricate content that deliberately deceives others in harmful ways (for example, crafting a message that falsely claims to be from someone else).

You are responsible for any content that you choose to send using Wetips. Wetips might provide suggestions, but the choice to send a message (and its content) is ultimately yours. BauhiniaAI is not the sender of your messages — you are. Accordingly, you should review and verify any suggested reply before sending it. If you misuse Wetips or violate these guidelines, BauhiniaAI may terminate or suspend your access (as detailed under “Termination” below). We may also take actions to prevent continued abuse, such as technical blocking or cooperating with platform providers or law enforcement when legally appropriate.

AI-Generated Content and Limitations of Use

Wetips leverages advanced artificial intelligence (AI) language models (provided by third-party AI services) to generate suggested replies. While this technology is powerful, it has limitations and it’s important for you to understand and account for them:

  1. Accuracy and Appropriateness: The AI strives to provide helpful and contextually appropriate suggestions, but it does not always get it right. You may occasionally receive suggestions that are off-base, nonsensical, or not in line with what you want to convey. In some cases, the AI might generate text that is factually incorrect or outdated, or that misunderstands the context of the conversation. It might even suggest content that is inadvertently offensive or insensitive. You must use your own judgment before sending any AI-suggested content. Do not assume that the AI’s suggestions are correct or fit for your particular situation. We strongly encourage you to read and edit suggestions as needed, rather than sending them blindly.
  2. No Professional Advice: Wetips is not a substitute for professional advice. The AI model may produce text that sounds confident, but it does not truly “understand” information like a human expert. For example, if you ask Wetips to help reply to a legal inquiry, the suggestion might contain incorrect legal information. Always seek professional guidance for matters that require it (legal, medical, financial, etc.). BauhiniaAI disclaims any liability for actions you take based on AI-generated content that might be mistaken for professional advice or factual information.
  3. User Responsibility for Content: You, the user, are the author of your messages. Even if Wetips drafted a reply for you, by choosing to send it, you take responsibility for its content. BauhiniaAI does not monitor or verify the content of suggestions you send, and we do not assume any responsibility or liability for the consequences of using those suggestions. If an AI-suggested message causes any misunderstanding, offense, or harm, you are responsible for addressing it just as you would be if you had written the message yourself from scratch.
  4. AI Model Behavior: The behavior of the AI models may change over time. Wetips relies on third-party AI (like OpenAI’s GPT models) which undergo updates and improvements. These updates might change how suggestions are generated (their tone, style, accuracy, etc.). We do not guarantee that the AI’s performance will remain consistent. You might notice differences in suggestions as the model is updated by its provider. Additionally, there could be times when the AI service is slow or unavailable due to high demand or technical issues, which could delay or prevent Wetips from generating suggestions.
  5. Content Filtering: The AI has certain content filters and guidelines (to avoid extreme profanity, hate speech, explicit sexual content, etc.), but these filters are not foolproof. Wetips is not intended to generate disallowed or highly sensitive content. You agree not to intentionally use Wetips to generate disallowed content (for instance, by feeding it extremely inappropriate prompts). If you do receive a suggestion that contains inappropriate content, do not use it – and please report it to us if possible, so we can improve the filtering. BauhiniaAI is not liable for any content the AI may generate; however, we will take steps to refine the AI’s behavior based on feedback.
  6. No Guarantee of Improvement: While Wetips is designed to help you write better responses, we do not guarantee that using Wetips will improve your communication or relationships. The effectiveness of suggestions can vary. You should not rely solely on Wetips for any critical or sensitive communications. Always consider the context and the recipient’s perspective, and if a matter is extremely important, it may be better to compose a personal message without AI or with minimal assistance.

By using Wetips, you acknowledge these limitations. We provide the AI functionality “as is” and expect users to apply common sense and diligence. If you are ever in doubt about a suggestion, err on the side of caution – edit it or don’t send it. Your use of any suggestion is at your own discretion and risk.

Intellectual Property Rights

Wetips Software: The Wetips application, including all software, code, algorithms, user interfaces, graphics, and other elements of the Service, is the intellectual property of BauhiniaAI or its licensors. It is protected by copyright, trade secret, and other intellectual property laws. BauhiniaAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Wetips on devices that you own or control, solely for your personal or internal business use, and only as permitted by this Agreement. Except for this license, we do not grant you any ownership right or title to the Wetips software. You may not: (a) copy, distribute, or create derivative works based on Wetips (except as allowed by open-source licenses if certain components are released as such, which will be specified); (b) reverse engineer or attempt to extract the source code of Wetips, except to the limited extent allowed by law; (c) remove or obscure any copyright, trademark, or other proprietary notices on Wetips; or (d) use Wetips’s name, logos, or trademark without our prior written consent.

BauhiniaAI Trademarks: “Wetips”, the Wetips logo, “BauhiniaAI” and any associated logos or slogans are trademarks or service marks of BauhiniaAI. You are not granted any right or license to use them except as necessary for you to use the Service (for example, to truthfully reference the product). Any goodwill arising from the use of BauhiniaAI’s trademarks belongs to BauhiniaAI.

Your Content: You retain all rights to the content that you input into Wetips or send via your messaging platforms. We do not claim ownership over the actual messages you compose or the documents you provide for the RAG feature. By using Wetips, you do, however, grant BauhiniaAI and our service providers a limited license to process your content for the purpose of providing the Service. For example, if you have a WhatsApp message from a friend that Wetips will reply to, you grant us the right to temporarily capture and process that message and to send it (along with your draft or prompt) to our AI provider to generate a suggestion. Likewise, if you upload a document to Wetips for reference, you grant us permission to process that document’s text (e.g. to create embeddings or summaries) and use it to formulate responses. This license is limited: we only use your content to operate Wetips features at your request. We do not use your chat content or documents for any other purpose. This license is also revocable: if you stop using Wetips or delete content from Wetips, we cease processing that content (aside from transient copies that may remain in system memory or backups for a short period, or as required for legal compliance). And it is non-exclusive and royalty-free – meaning you can use your content however else you want, and we don’t pay you (or charge you extra) for processing it.

AI-Generated Outputs: Suggestions generated by Wetips (the AI-written text) are novel content created by the AI in response to your input. To the extent any copyright or rights may subsist in these AI outputs, our intention is that you, the user, should be free to use the AI-generated suggestions as you see fit. BauhiniaAI does not claim ownership of the messages or text that the AI generates for you. That said, because of the way AI works (training on lots of public text), there is a non-zero chance that an output might coincidentally duplicate or closely imitate existing content. BauhiniaAI cannot guarantee that every AI output is unique or free from third-party claims. By using Wetips, you acknowledge this. We recommend that if you use an AI-generated text for anything beyond a private conversation (for example, publishing it publicly or using it commercially), you should review it to ensure it doesn’t inadvertently include someone else’s copyrighted material or sensitive information. Your use of AI outputs is at your own risk with respect to third-party intellectual property claims. However, generally for typical chat replies, this is not expected to be an issue.

If you provide feedback or suggestions to us about Wetips (for example, ideas to improve features, reports of bugs, or suggestions for new use cases), you agree that BauhiniaAI can use, modify, and incorporate this feedback without any restriction or compensation to you. Such feedback is completely voluntary, but we appreciate it and may use it to improve the product. For clarity, this does not refer to your private chat conversations, but rather feedback about the product itself that you choose to send to us (e.g., via a support email or feedback form). We may also publicly reference or acknowledge your feedback (e.g., in release notes) without identifying you personally, unless we’ve obtained your permission to do so.

Privacy and Data Use

Your privacy is important to us. Wetips is designed to operate with minimal retention of personal data. BauhiniaAI does not store the content of your chats on its servers – chat content is processed transiently and only used to generate the AI suggestions . Only RAG files are stored on clouds. We also do not use your personal data for advertising or profiling purposes . In general, we collect only the information necessary to provide the Service and handle your account (such as your email and subscription status). A detailed explanation of our data practices is provided in the Wetips Privacy Policy, which is available alongside this Agreement. By agreeing to this User Agreement, you also agree to the terms of the Privacy Policy.

Key Privacy Points:

  1. Chat Data: When Wetips accesses your messages to generate a suggestion, that message content may be sent to our AI model provider (e.g., OpenAI) for processing. Neither BauhiniaAI nor the AI provider will use that content for any purpose other than to return a suggestion to you. BauhiniaAI does not save these messages on our servers after processing. For example, if Wetips reads an incoming WhatsApp message “Are we still on for meeting at 3 PM?” in order to craft a reply, that message might be sent securely to the AI service, but it is not stored in any database of ours. According to our understanding of our AI provider’s policies, such data is not used to train their models and is retained only briefly for abuse monitoring .
  2. Personal Information: To register an account, we collect your email address. We use it for login and for necessary communications (like sending verification codes or important service updates). We do not spam you or sell your email to third parties. If you subscribe to a paid plan, our payment processor will handle your payment information; we do not store your credit card numbers. We keep basic info like your subscription status and transaction records to manage your account.
  3. No Tracking: We do not embed third-party analytics trackers in Wetips. The app does not report your usage to advertising networks or collect unnecessary metadata. We also do not show any third-party ads within Wetips. In other words, Wetips is ad-free and your data is not being mined for marketing purposes. We collect only what we need to make Wetips function (for example, counting how many messages you’ve processed today to enforce the free tier limit, which we do in a privacy-conscious way).
  4. Security: We employ security measures (encryption, access controls, etc.) to safeguard the data that Wetips does handle. However, any data transmitted over the internet (like sending your chat snippet to the AI model) inherently carries some risk. We encourage you not to use Wetips to handle extremely sensitive information, or if you do, to be aware of the privacy implications. For instance, we advise against using Wetips to process passwords, government-issued IDs, or highly confidential business secrets, as those might be exposed to the AI processing (even though ephemeral). See our Privacy Policy for more on security and recommended use.

If you have any questions or requests regarding your personal data (for example, if you want to delete your account or access your data), our Privacy Policy also outlines how you can contact us and exercise your rights (such as those provided under GDPR or CCPA).

Third-Party Services and Dependencies

Wetips interacts with or relies on several third-party services to function. By using Wetips, you acknowledge that you may also be using these third-party services, and that your use of Wetips is subject to their terms and policies where applicable. Key third-party elements include:

  1. Messaging Platforms: Wetips works with third-party messaging applications (WhatsApp, WeChat, Telegram, Facebook Messenger, etc.) by overlaying or integrating with their interfaces. BauhiniaAI is not affiliated with or endorsed by the providers of those messaging apps. Your use of Wetips must not violate the user terms of those messaging services. For example, if WhatsApp’s terms forbid automated message generation in certain cases, you agree to use Wetips in a manner consistent with those terms. We make no guarantee that any messaging platform will permit or continue to permit Wetips’ functionality. These platforms may update their software or policies in ways that impact Wetips’s performance or availability, and that is outside of BauhiniaAI’s control. You should use Wetips responsibly and understand that any issues arising from the use of a third-party platform (like an account suspension by that platform) are not the responsibility of BauhiniaAI.
  2. AI Service Providers: The core feature of Wetips – AI-generated text suggestions – is powered by third-party large language model providers. Currently, Wetips uses OpenAI’s API (such as GPT-3.5 or GPT-4) to generate replies. This means that when you request a suggestion, your request and the relevant context (chat messages, selected documents, etc.) are sent to OpenAI’s servers, and a response is returned. By using Wetips, you agree to this transfer of data. We have taken steps to ensure this is done securely and in compliance with data protection requirements. OpenAI, for instance, has policies that state they do not use API-submitted data to train their models and that they retain such data only for a limited time to monitor for abuse . However, OpenAI and other AI providers are independent entities; BauhiniaAI does not control their actions. We rely on their contractual obligations and privacy commitments to handle your data appropriately. We encourage you to review the terms of service and privacy policies of OpenAI or any AI provider Wetips uses, if you have concerns. (Wetips will notify you if we switch AI providers or add additional ones that process your data.) You understand that the quality and availability of Wetips’s suggestions partly depend on these third-party AI services, and we are not liable for outages or changes on the part of the AI provider.
  3. Payment Processors: If you upgrade to a paid Wetips subscription, payments are facilitated by third-party payment processors (for example, Stripe for credit card processing, or the Apple App Store / Google Play Store if purchasing through those channels). These third parties have their own terms and privacy policies, which govern the handling of your payment data. BauhiniaAI does not receive your full payment information (like credit card numbers) from these processors—only necessary details like confirmation of payment and maybe partial info for record-keeping (e.g., last four digits of a card, transaction ID, etc.). By purchasing a subscription, you are also agreeing to the payment processor’s terms of service. If you have billing issues or disputes, we will assist to the extent possible, but certain matters may need to be resolved between you and the payment provider or your bank.
  4. No Third-Party Analytics or Ads: We do not embed analytics SDKs or ad networks in Wetips, as stated. That means Wetips itself isn’t sending your data to Google Analytics, Facebook, or others for tracking. The only external calls Wetips makes are for its core functionality (AI suggestions, license verification, sending email verification codes, etc.). Therefore, aside from the services listed above (AI API, email service, payment service), Wetips doesn’t routinely communicate with third-party services. In particular, Wetips does not display advertisements and we do not monetize your data through advertising.

While using Wetips, you might encounter links or content that lead to third-party websites (for example, if an AI suggestion includes a reference or link, or if our documentation provides links for help). We are not responsible for the content or privacy practices of any websites or services not operated by BauhiniaAI.

Third-Party Liability: BauhiniaAI is not liable for the actions or inactions of third-party services. If any third-party service causes loss or damage (for example, an AI provider having downtime, or a messaging app blocking Wetips features), our responsibility to you is limited as described in “Limitations of Liability” below. We will, however, make reasonable efforts to maintain our integrations and choose reliable partners. If you have a negative experience or issue specifically with a third-party service (like you believe OpenAI’s output violated their policy or a messaging app banned you unfairly), you must address those issues with the respective third party. We will cooperate as needed (and as legally allowed) to help resolve such issues, but we cannot guarantee a remedy on behalf of another company.

Termination and Suspension

This Agreement is effective until terminated by either you or us. You may terminate it at any time by discontinuing use of Wetips and uninstalling the software. If you wish to completely delete your Wetips account (and associated data such as your registered email), you should contact BauhiniaAI support with a request or use any provided account deletion function. Termination of your account will be handled in accordance with our Privacy Policy (generally, we will delete personal data upon verified request, except data we are required to keep for legal reasons).

BauhiniaAI may suspend or terminate your access to Wetips (including paid accounts) at any time, with or without notice, if we believe in good faith that: (a) you have violated any provision of this Agreement (or the law), (b) you pose a security or integrity risk to our Service or other users (for example, through hacking attempts, misuse, or abusive behavior), (c) you haven’t paid required fees (in the case of subscription, if payment is overdue despite reminders, we may downgrade or suspend your account), or (d) we decide to discontinue the Service altogether. We will generally attempt to warn or notify you of violations before terminating, and possibly provide an opportunity to correct issues, but we are not obligated to do so.

Effect of Termination: Upon termination of this Agreement for any reason:

  1. All licenses and rights granted to you in this Agreement will immediately cease. You must stop using Wetips and uninstall or delete any copies of the software in your possession. You will no longer be authorized to access the Service (and we may disable your account or block the software from functioning for you).
  2. If you were on a paid subscription that we terminated due to your breach of the Agreement or misconduct, you will not be entitled to any refund for the remaining period of your subscription. If we terminate your subscription without cause (for instance, if we decide to shut down Wetips entirely, unrelated to any wrongdoing on your part), we will provide a pro-rata refund for any remaining full months of service that you have prepaid.
  3. Any accrued rights or liabilities up to the date of termination (such as any indemnification obligations, or any outstanding payment obligations) will survive. Terms of this Agreement that by their nature should survive termination (including, but not limited to, disclaimers of warranty, limitations of liability, and governing law provisions) shall continue to apply.

If your account is terminated (especially for cause), you may not attempt to create a new account or access Wetips without our prior written consent. BauhiniaAI also reserves the right to pursue legal remedies available for violations of this Agreement.

Disclaimers of Warranty

Wetips is provided to you “AS IS” and “AS AVAILABLE”, without warranties of any kind. While we strive to create a reliable and high-quality service, BauhiniaAI expressly disclaims any and all warranties and representations, express or implied, regarding Wetips, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that Wetips will meet your specific requirements, that it will operate without interruption, that it will be error-free, or that any particular results will be achieved by using it . For example, we do not warrant that:

  1. The AI suggestions will always be accurate, relevant, or safe.
  2. The integration with each messaging app will always work seamlessly (messaging platforms may change their code, etc.).
  3. The Service will be available at any given time or have any minimum uptime (there may be occasional outages or maintenance windows).
  4. Any errors or defects in Wetips will be corrected promptly (though we will endeavor to fix issues that significantly impair the service).

Additionally, BauhiniaAI makes no warranties regarding the communications sent through Wetips. We don’t guarantee that your chat recipients will interpret or react to your AI-assisted messages in any desired way. Outcomes depend on many factors beyond our control (human communication nuances, etc.).

No advice or information, whether oral or written, obtained by you from BauhiniaAI or through Wetips shall create any warranty not expressly stated in this Agreement. You assume all responsibility for any decisions you make based on information or suggestions obtained through Wetips. Use of Wetips is at your own risk. You should have up-to-date security software on your device, and you are responsible for any damage to your device or loss of data that results from using Wetips or downloading its updates.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any implied warranties are limited to the minimum scope and duration permitted by applicable law.

Limitation of Liability

To the maximum extent permitted by law, in no event shall BauhiniaAI (or its parent company, affiliates, officers, directors, employees, agents, partners, or suppliers) be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, loss of data, loss of goodwill, business interruption, or other intangible losses, arising out of or in connection with your access to, use of, or inability to use Wetips, even if we have been advised of the possibility of such damages. This limitation applies to all causes of action, whether based in contract, tort (including negligence), strict liability, or any other legal theory.

In particular, BauhiniaAI will not be liable for:

  1. Any harm resulting from your reliance on AI-generated suggestions (such as misunderstanding in a conversation or a business decision made on incorrect information).
  2. Any injury to relationships or opportunities due to content generated or suggested by Wetips.
  3. Any damages or penalties arising from your use of Wetips in violation of a third-party service’s terms (e.g., if a messaging app bans you or legal action is taken because of something you sent).
  4. Any unauthorized access to or alteration of your transmissions or data (for example, if someone gains access to your account because you shared your email or left your device unlocked).
  5. Any third-party conduct or content, including that of the AI provider or messaging platforms, that affect Wetips (for instance, an outage or data breach at a third party).
  6. Any matters beyond our reasonable control, such as acts of God, network failures, or government actions.

Cap on Liability: To the extent that liability cannot be completely disclaimed and to the extent permitted by law, BauhiniaAI’s total cumulative liability to you for any direct damages arising from or related to this Agreement or Wetips shall not exceed the amount (if any) that you paid to us for Wetips in the six (6) months immediately prior to the event giving rise to the claim. If you have not paid anything (for example, if you are a free user), our liability is $0. This limitation is cumulative and not per-incident.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation may not fully apply to you. In those jurisdictions, BauhiniaAI’s liability will be limited to the greatest extent permitted by law.

You agree that the above limitations of liability together with the other provisions in this Agreement that limit liability (such as the warranty disclaimers) are essential terms of this Agreement and that BauhiniaAI would not be able to provide Wetips on an economically feasible basis without such limitations.

Indemnification

You agree to indemnify, defend, and hold harmless BauhiniaAI, its parent company, affiliates, and their respective officers, directors, employees, and agents (the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to: (a) your use or misuse of Wetips, (b) your violation of any term of this Agreement, (c) your violation of any rights of a third party (for example, if you use Wetips to infringe someone’s copyright or to violate someone’s privacy or if someone claims that your messages caused them harm), or (d) your violation of any applicable law or regulation.

BauhiniaAI reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with BauhiniaAI in asserting any available defenses). You agree not to settle any such matter without the prior written consent of BauhiniaAI. We will use reasonable efforts to inform you of any claim that is subject to indemnification as soon as we become aware of it.

This indemnification obligation will survive the termination of this Agreement and your use of Wetips.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law principles. We choose Hong Kong law as it reflects the international nature of our business. That said, we recognize that you may have consumer protection rights under the laws of your country of residence. This clause does not override any rights you have under mandatory local laws (for example, if you are a resident of a European Union country, you may have certain rights under EU consumer law or GDPR that cannot be waived by contract).

Jurisdiction: Any dispute, controversy, or claim arising out of or relating to this Agreement or your use of Wetips that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Hong Kong. Both you and BauhiniaAI consent to the exercise of personal jurisdiction by, and venue in, such courts. If you are a consumer residing outside of Hong Kong, you may also have the right to bring an action in your home country’s courts under certain circumstances (for example, in the EU, consumers can sometimes sue in their domicile). This Agreement does not limit any such right where it is provided by mandatory law.

Injunctive Relief: Notwithstanding the above, BauhiniaAI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent unauthorized use of the Service (for example, to stop someone from unlawfully distributing our software or misusing our trademarks), since such actions may cause irreparable harm that cannot be solely remedied by monetary damages.

Time Limit: To the extent permitted by law, any claim or cause of action arising out of or related to your use of Wetips or this Agreement must be filed within one (1) year after such claim or cause of action arose, or be forever barred. (This does not apply to consumers in jurisdictions that prohibit such a time limit.)

We hope to resolve any disputes through friendly dialogue. If you have any issue or dispute with BauhiniaAI, we encourage you to reach out to us first, explain your concerns, and seek resolution. We will attempt to address your concerns without the need for legal action.

Changes to this Agreement

BauhiniaAI may modify or update this Terms of Service from time to time. If we make material changes (for example, changes that significantly affect your rights or obligations), we will provide you with clear notice. This may include posting the updated Agreement on our website and/or within the Wetips app, and sending an email to the address associated with your account (if you have registered) or a notification via the app. The notice will outline the key changes and the effective date.

Unless we say otherwise in our notice, changes will become effective 30 days after we provide notice. This gives you the opportunity to review the revised terms. If you do not agree to the updated terms, you should stop using Wetips before the changes take effect and, if applicable, cancel your subscription. If you continue to use Wetips after the new terms take effect, you will be deemed to have accepted the changes.

For non-material updates (such as clarifications or typographical corrections that do not change the meaning of the terms), we may not provide dedicated notice, so you should review this Agreement periodically to stay informed of any changes. The “Last Updated” date at the top will reflect the date of the latest revisions.

Other Provisions

Entire Agreement: This Agreement, together with the Privacy Policy and any other policies or guidelines incorporated by reference, constitutes the entire agreement between you and BauhiniaAI regarding Wetips. It supersedes any prior or contemporaneous oral or written communications or agreements between us and you concerning the subject matter hereof. Any additional or different terms (such as those in any purchase order, communication, or click-through agreement provided by you) are void unless expressly agreed to in writing by BauhiniaAI.

Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of the Agreement will remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the least degree necessary to remedy the invalidity or unenforceability (if possible), or severed if modification is not possible, so as to effect the intent of the parties as closely as possible.

No Waiver: BauhiniaAI’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision. Similarly, an express waiver by BauhiniaAI of any provision, condition, or requirement of this Agreement shall not be a waiver of any future obligation to comply with such provision, condition, or requirement. Any waiver must be made in writing and signed by an authorized representative of BauhiniaAI.

Assignment: You may not assign or transfer this Agreement or any of your rights or obligations hereunder, in whole or in part, to any third party without our prior written consent. Any attempted assignment in violation of this provision is null and void. BauhiniaAI may assign this Agreement or any of its rights and obligations hereunder without your consent to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

No Third-Party Beneficiaries: This Agreement is solely for the benefit of you and BauhiniaAI. Except as explicitly provided, no third party shall have any rights under this Agreement. (For example, even though our suppliers and partners are mentioned in this Agreement, they do not become parties to it.)

Relationship of Parties: This Agreement does not create any joint venture, partnership, employment, or agency relationship between you and BauhiniaAI. You are an independent user of the Service, and nothing in this Agreement is intended to confer any form of joint responsibility or liability on BauhiniaAI for your actions.

Export Compliance: Wetips may be subject to export control and sanctions laws. You agree to use Wetips in compliance with all applicable export regulations. You shall not download or use Wetips if you are located in a jurisdiction where such use is prohibited by export law, nor will you provide access to Wetips to individuals or entities sanctioned or embargoed by applicable laws.

Language: This Agreement is written in English. If we provide a translation of this Agreement, it is for convenience only. In the event of any conflict between the English version and a translated version, the English version will prevail.
